# What is a data licensing agreement?

A data licensing agreement is a contract in which a data owner grants another party defined rights to use a copy of its data, for agreed purposes and an agreed period, usually in exchange for payment, without selling the data itself.

## What does a data licensing agreement cover?

A data licensing agreement covers what data is licensed, what the buyer may do with it, for how long, how you are paid, and what each side promises about rights, privacy and deletion. For SOPs, internal documents or code, the data description carries the most weight: it names the systems, document sets or repositories included, the period covered and what is left out, such as HR files or client names. Many buyers split the contract into master terms and an order form for each dataset. micro1's published master terms (version of October 7 2026) bind only once an order form that references them is signed ([micro1, preamble](https://www.micro1.ai/legal/data-license-master-terms)), and they say the buyer "acquires no ownership of the Data itself, which is licensed and not sold" ([micro1, s. 2.2](https://www.micro1.ai/legal/data-license-master-terms)).

## Which clauses decide what you are paid and what you control?

Five clauses do most of the work: the grant, the fees, acceptance, deletion and the term. The grant sets the permitted uses, and a buyer's standard form can be broad: micro1's is "worldwide, royalty-free, fully paid-up, nonexclusive, irrevocable, perpetual", with sublicensing "through multiple tiers" ([micro1, s. 1.2](https://www.micro1.ai/legal/data-license-master-terms)). Payment can hinge on acceptance, since the same terms give the buyer 30 business days after delivery to reject data ([micro1, s. 1.3](https://www.micro1.ai/legal/data-license-master-terms)). Negotiated deals differ: Tempus licenses neurology records to Pathos at a fee per delivered record, invoiced monthly, over a five-year term ([Tempus 8-K, Oct 23 2026](https://www.sec.gov/Archives/edgar/data/1717115/000119312526429533/d135568d8k.htm)). For process documentation, a clause that stops the buyer reverse-engineering your "business processes, pricing methodologies, customer relationships, or proprietary workflows" is worth asking for ([micro1, s. 1.4](https://www.micro1.ai/legal/data-license-master-terms)).

## How does a data licensing agreement work with fearofgod.ai?

With fearofgod.ai, scope and terms is the third of five steps, after the partnership form and the conversation and before data preparation, delivery and payment. Partnerships typically range from $50K to $3M+. Your company can be paid more than once, through renewals and repeat licences. Your company can keep ownership of its data. This is agreed case by case. Raw data is deleted according to a schedule agreed with the partner.
